Allmartsonline β€” Marketplace Rules of Use

The rules and responsibilities that apply when using Allmartsonline. Effective Date: 01 January 2026 Last Reviewed: 01 August 2026

Last updated: August 2026

1. Introduction and Acceptance

These Terms & Conditions ("Terms") govern access to and use of www.allmartsonline.com and all related mobile applications, vendor dashboards, and services (collectively, the "Platform"), operated by Allmartsonline Technologies Limited ("Allmartsonline", "we", "us", or "our"), a company registered in Lagos State, Federal Republic of Nigeria. By creating an account, listing a product, placing an order, or otherwise using the Platform, you ("User", "Vendor", or "Buyer") agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

By using Allmartsonline, users agree to follow the platform rules, related policies, and applicable procedures that govern site usage.

  • ● "Vendor" means a registered business or individual that lists products or services for sale on the Platform.
  • ● "Buyer" means any person or business that purchases or seeks to purchase goods or services through the Platform.
  • ● "Marketplace" means the B2B multi-vendor environment through which independent Vendors offer goods directly to Buyers.
  • ● "Subscription Tier" means the paid membership category (e.g. Category A, B, C, D) that determines a Vendor's visibility, listing limits, and commission rate.
  • ● "Diaspora Feature" (also marketed as "Shop Around the World") means the location-aware function allowing Buyers outside Nigeria to purchase from Nigerian Vendors for local or cross-border fulfilment.
  • ● "Affiliate" means a person registered under Allmartsonline's referral or marketing programmes who earns commission for referred sales or sign-ups.

3. Nature of the Marketplace

Allmartsonline is a technology platform that connects independent Vendors with Buyers. Except where expressly stated, Allmartsonline Technologies Limited is not the seller, manufacturer, or owner of goods listed on the Platform and is not a party to the contract of sale formed between a Vendor and a Buyer. Allmartsonline's role is limited to providing the technology, payment facilitation, and marketplace rules that make that transaction possible.

4. Eligibility and Account Registration

Users must be at least 18 years old, or the age of majority in their jurisdiction, and capable of forming a binding contract under Nigerian law. Vendors must provide accurate business information, including any applicable CAC registration, tax identification, and valid means of identification, and must keep this information current. Allmartsonline may verify, suspend, or decline any registration at its discretion, particularly where fraud, misrepresentation, or regulatory risk is suspected.

5. Vendor Obligations

  • ● Provide accurate, non-misleading descriptions, pricing, and images for every listed product.
  • ● Honour listed prices and stock availability, and fulfil accepted orders within the timeframe stated at checkout.
  • ● Hold all licences, permits, and regulatory approvals required to sell the listed goods in Nigeria lawfully.
  • ● Not list counterfeit, stolen, prohibited, or restricted goods, including items that infringe third-party intellectual property.
  • ● Maintain the Subscription Tier applicable to the Vendor's category and pay all associated fees and commissions when due.

6. Buyer Obligations

  • ● Provide accurate delivery and payment information.
  • ● Pay for confirmed orders through the Platform's approved payment channels only.
  • ● Raise disputes over an order through the Platform's resolution process within the stated window, rather than reversing payment directly with a payment provider without first notifying Allmartsonline.

7. Subscription Tiers, Fees, and Commission

Access to enhanced marketplace features is organised into Subscription Tiers, each with its own annual fee, listing allowance, and commission rate, as published from time to time on the Platform's pricing page. Vendors are billed according to the tier selected at registration or upgrade. Commission on completed sales is deducted at the rate applicable to the Vendor's tier before settlement. Full billing mechanics are set out in the separate Billing Policy, which forms part of these Terms by reference.

8. Orders, Payment, and Escrow/Wallet

All payments for orders placed through the Platform are processed via Allmartsonline's integrated payment partners. Where escrow-style protection applies, funds paid by a Buyer are held by the payment processor and released to the Vendor only upon confirmed delivery, buyer confirmation, or expiry of the applicable dispute window, whichever occurs first. Allmartsonline does not itself hold Buyer funds outside of these processor-managed accounts.

9. Diaspora and Cross-Border Purchases

Where a Buyer uses the diaspora purchasing feature to buy on behalf of a recipient in Nigeria (or vice versa), the Buyer remains responsible for providing accurate recipient and delivery details. Allmartsonline does not act as an importer, exporter, or customs agent, and is not responsible for cross-border duties, customs delays, or restrictions imposed by any government authority.

10. Prohibited Conduct

  • ● Listing counterfeit, illegal, hazardous, or age-restricted goods without required authorisation.
  • ● Manipulating reviews, ratings, or the affiliate/referral programme through fake accounts or fraudulent transactions.
  • ● Circumventing the Platform's payment system to avoid fees or commission.
  • ● Uploading content that infringes another party's intellectual property or violates Nigerian law.
  • ● Attempting to interfere with the security or normal operation of the Platform.

11. Intellectual Property

The Allmartsonline name, logo, platform design, and underlying software are the property of Allmartsonline Technologies Limited and may not be copied, reverse-engineered, or used without prior written consent. Vendors retain ownership of their own product content but grant Allmartsonline a non-exclusive licence to display, reproduce, and promote that content on and in connection with the Platform.

12. Disclaimers and Limitation of Liability

The Platform is provided "as is". To the maximum extent permitted by Nigerian law, Allmartsonline Technologies Limited disclaims liability for the quality, safety, legality, or delivery of goods listed by Vendors, and for losses arising from a Vendor's or Buyer's own breach of these Terms. Nothing in this clause limits liability that cannot lawfully be excluded, including liability for fraud.

13. Suspension and Termination

Allmartsonline Technologies Limited may suspend or terminate any account for breach of these Terms, suspected fraud, non-payment of fees, or at its reasonable discretion to protect the integrity of the Marketplace, subject to notice where practicable. A User may close their account at any time, subject to settlement of outstanding orders and fees.

14. Dispute Resolution and Governing Law

The laws of the Federal Republic of Nigeria govern these Terms. The parties will first attempt to resolve any dispute through good-faith negotiation and the Platform's internal resolution process, escalating, if unresolved, to mediation or arbitration in Lagos State before resort to the courts of Nigeria, which shall have exclusive jurisdiction over any remaining dispute.

15. Changes to these Terms

Allmartsonline Technologies Limited may update these Terms from time to time to reflect changes in the law, the Platform's features, or its business practices. Material changes will be notified through the Platform or by email, and continued use after the effective date constitutes acceptance.
